Amgen in Talks to Acquire Horizon, Sanofi Declines Deal – Sources

U.S. pharmaceutical company Amgen is in talks to acquire Horizon Therapeutics, according to several people familiar with the situation. If the deal goes through, it would be the company’s largest-ever acquisition. On December 11, Sanofi, which had been seeking to acquire Horizon, announced the termination of talks.

An agreement between the two companies may be announced by December 12.

According to one person involved in the talks, who spoke on condition of anonymity because the information is confidential, Amgen and Horizon are in the advanced stages of talks, and an agreement may be announced within a few days. However, there is still a possibility that an agreement or announcement could be postponed or that negotiations could break down.

 

Horizon’s most recent share price was $97.29, up 24% since November 29, when the company revealed that it was in preliminary talks with Amgen, Sanofi, and a division of Johnson & Johnson (J&J) over a possible acquisition. The company’s market capitalization is now $22 billion. Amgen shares have risen 24% this year, valuing the company at about $149 billion.

 

J&J also announced earlier this month that it would not make a takeover offer to Horizon.

 

We attempted to reach Amgen and Horizon representatives outside of normal business hours, but they could not immediately be reached. The Wall Street Journal (WSJ) had earlier reported that an agreement between the two companies could be announced by December 12.
